• TikTok Shop account setup and optimization
• Affiliate network access and management
• Content creation guidance and campaign management
• Ongoing shop optimization and performance monitoring
• Strategic consultation and growth planning

3. Service Agreement and Scope

3.1 Service Commencement

Services begin upon execution of a separate service agreement and receipt of initial payment. These Terms supplement any specific service agreement.

3.2 Client Responsibilities

You agree to:

• Provide accurate business and product information
• Maintain adequate inventory and fulfillment capabilities
• Comply with TikTok's terms of service and community guidelines
• Respond promptly to requests for information or approvals
• Maintain appropriate business licenses and registrations
• Ensure products comply with applicable laws and regulations

3.3 Our Responsibilities

We will:

• Provide services with reasonable skill and care
• Use commercially reasonable efforts to achieve agreed objectives
• Maintain confidentiality of your business information
• Provide regular updates on service progress

4. Payment Terms

4.1 Fees and Payment

• Fees are as specified in your service agreement
• Payment terms are net 7 days unless otherwise agreed
• Late payments may incur interest at 8% per annum above Bank of England base rate
• All fees are exclusive of VAT where applicable

4.2 Refund Policy

Refund terms are as specified in your individual service agreement. Refund requests must be made in writing with specific reasons for dissatisfaction.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, trademarks, logos, and intellectual property on our website and in our services remain our exclusive property. You may not use, reproduce, or distribute our intellectual property without written permission.

5.2 Client Intellectual Property

You retain ownership of your trademarks, products, and business information. You grant us a limited license to use your intellectual property solely for providing our services.

5.3 Content Creation

Any content created as part of our services (guides, strategies, campaigns) becomes your property upon full payment, subject to our right to use anonymized case studies for marketing purposes.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the service relationship. This obligation survives termination of services.

7. Limitation of Liability

7.2 Liability Limitations

To the maximum extent permitted by law:

• Our total liability is limited to the fees paid for services in the 12 months preceding the claim
• We exclude liability for indirect, consequential, or special damages
• We exclude liability for loss of profits, revenue, or business opportunities
• Nothing excludes liability for death, personal injury, fraud, or fraudulent misrepresentation

7.3 Third-Party Platforms

We are not responsible for changes to third-party platforms (TikTok, affiliate networks) that may affect service delivery or results.

8. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your products, services, or business practices
• Violation of laws, regulations, or third-party rights
• Breach of these Terms or your service agreement
• Content or information you provide

9. Termination

9.1 Termination Rights

Either party may terminate services:

• With 30 days' written notice for convenience
• Immediately for material breach (after 7 days' cure period)
• Immediately for insolvency or bankruptcy

9.2 Effect of Termination

Upon termination:

• All outstanding fees become immediately due
• We will provide reasonable transition assistance
• Confidentiality obligations continue
• You retain ownership of your accounts and assets

10. Website Use and Acceptable Use Policy

10.1 Permitted Use

You may use our website for legitimate business purposes related to our services.

10.2 Prohibited Activities

You must not:

These Terms, together with your service agreement and Privacy Policy, constitute the entire agreement between parties.

We may update these Terms periodically. Material changes will be communicated with 30 days' notice. Continued use constitutes acceptance of updated Terms.

16.3 Severability

If any provision is found unenforceable, the remainder of these Terms remains in effect.

16.4 Assignment

We may assign these Terms in connection with business transfers. You may not assign without our written consent.

16.5 Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.
